Liquidity Through Income Securities - Cross Border Opportunities for

Accessing capital markets on attractive terms can provide liquidity for equity holders and de-leveraging opportunities for management in the U.S. power generation sector. Over the past several years the Canadian capital market has developed a robust appetite for income producing securities that produce predictable cash distributions and offer the additional prospect of measurable growth. These securities have also started to develop a following in the U.S. market under such names as Income Deposit Securities, Enhanced Income Securities and Income Participating Securities. Torys LLP has been at the forefront of this market both in Canada and the U.S. and will lead participants through the ins and outs of structuring and completing these deals. This workshop will examine the evolution of income securities in Canada and the U.S., valuation metrics, structuring offerings, management arrangements, tax and accounting issues, retained equity interest issues, process and timing considerations, post closing project finance, M&A possibilities and other topical issues. |
